UBC identifies commercial receivables, coordinates documentation, and provides standardized performance data for institutional participants transacting in aggregate tranches of $1,000,000 or greater. UBC operates strictly as a technical sourcing and administrative services provider.

LEGAL ENTITY AND JURISDICTION

Corporate Domicile: UBC is a limited liability company organized under the laws of the State of Wyoming.

Governing Law: All engagements, asset purchase agreements, and service contracts are governed strictly by Wyoming law.

Geographic Restrictions: UBC operates exclusively in authorized jurisdictions and does not solicit, source assets from, purchase assets from, or facilitate transactions with entities located or organized in jurisdictions where such activities would require specific licensing or regulatory approval that UBC does not currently maintain. Geographic availability is subject to change, and all transactions are void where prohibited by local law.

OPERATIONAL STRUCTURE

Service-Only Model: UBC operates exclusively as a technical sourcing and administrative services provider. UBC charges fixed service fees only.

No Contingent Compensation: UBC does not receive profit participation, carried interest, or asset management fees.

True Sale: Transactions involve the absolute assignment of whole commercial receivables, not loans or securities.

ELIGIBILITY RESTRICTIONS

Services are restricted strictly to institutional participants and commercial entities capable of transacting in aggregate tranches of $1,000,000 or greater.
